A SHARP SOLUTIONS LLC
Clear expectations for customers, acceptable use, account security, hosting resources, backups, and service responsibilities.
1. Acceptance and scope
These Terms of Service and Acceptable Use Policy (“Terms”) apply to use of services provided by A Sharp Solutions LLC (“A Sharp Solutions,” “we,” “us,” or “our”), including website hosting and support, website and application development, databases, IT services, cybersecurity services, and related consulting, unless a separate written agreement controls. By ordering or using a service, the customer (“Customer,” “you”) agrees to the applicable terms presented with that order. If a signed agreement conflicts with these Terms, the signed agreement controls to the extent of the conflict.
2. Customer responsibilities
Customer is responsible for the accuracy and legality of its content, products, services, data, communications, and use of services. Customer must have all necessary rights, permissions, licenses, notices, and consents for material it uploads, publishes, processes, or asks us to process. Customer must keep account and contact details accurate, protect credentials, use multi-factor authentication where available, maintain appropriate access controls, and promptly report suspected compromise.
3. Acceptable use
Customer may not use or permit any service to:
- violate applicable law, court orders, or third-party rights;
- host, transmit, distribute, or facilitate malware, ransomware, phishing, credential theft, fraud, unlawful surveillance, or malicious code;
- send unsolicited bulk email, spam, deceptive messages, or communications that violate anti-spam or privacy laws;
- attempt unauthorized access, probe or attack systems without written authorization, disrupt services, evade security controls, or interfere with another customer or network;
- operate an open proxy, unauthorized relay, botnet, cryptocurrency-mining workload, or other abusive resource-consuming service without our prior written approval;
- publish or transmit unlawful, threatening, harassing, exploitative, infringing, or otherwise prohibited content;
- store or transmit sensitive personal information without a lawful basis and reasonable safeguards, or collect information deceptively; or
- exceed agreed resource, storage, bandwidth, connection, email, CPU, memory, or other service limits or use resources in a way that materially degrades service for others.
We may investigate credible abuse reports and take proportionate protective action as described below. We do not promise to monitor all customer content or traffic continuously.
4. Security and cooperation
Each party must take reasonable steps within its control to protect accounts, systems, and data. Customer must promptly apply critical updates to customer-managed software, remove compromised accounts, use supported software, and cooperate with reasonable security requests. Customer must not share administrator credentials through ordinary email or ask us to retain secrets in unprotected documents. Where access is needed for support, use an agreed secure method and revoke temporary access when no longer required.
For managed services, the division of responsibilities—including patching, monitoring, backups, incident response, and access management—must be set out in the applicable proposal or service agreement. Unless expressly included in writing, a service is not a guarantee that all vulnerabilities will be found, all attacks prevented, or all data recovered.
5. Hosting, storage, and resource limits
Hosting plans may have defined limits for websites, domains, storage, bandwidth, databases, email accounts, backups, CPU, memory, and support. The order or plan description controls the purchased limits. We may ask Customer to reduce usage, upgrade a plan, or remove abusive workloads when usage exceeds limits or affects system stability. We will provide reasonable notice where practical, except where urgent action is needed to protect systems, customers, data, or legal compliance.
6. Backups and data loss
Unless a written plan or agreement expressly states otherwise, Customer is responsible for maintaining independent, current backups of its website files, databases, email, configuration, and other content. Any backups we provide are an additional safeguard, not a substitute for Customer’s own verified backup and recovery plan. Backup frequency, retention, restoration fees, recovery objectives, and exclusions should be stated in the applicable plan or agreement. We do not guarantee that every backup will be complete, current, or recoverable.
7. Suspension, restriction, and termination
We may temporarily restrict, isolate, suspend, or terminate a service when reasonably necessary to address a security threat, suspected compromise, abuse, unlawful activity, nonpayment, violation of these Terms, material resource impact, or a legal requirement. Where reasonably practical, we will notify Customer and allow an opportunity to remedy the issue. We may act without advance notice when delay could cause harm, expand a security incident, expose other customers, destroy evidence, or violate law. We will use reasonable efforts to limit action to the affected account or service when feasible.
Customer may request cancellation according to the applicable order or agreement. Fees, refunds, renewal rules, data export windows, and post-termination deletion should be specified in that order or agreement. Customer should export its data before service termination. We may retain limited records as required for legal, security, accounting, or dispute purposes.
8. Fees, renewal, and payment
Prices, billing frequency, taxes, renewal dates, late fees, and cancellation terms are those shown in the accepted quote, order, or signed agreement. We will not treat a price or package listed in an old page or draft as a current offer unless it is expressly included in the current order. Customer is responsible for applicable charges and for keeping payment details current with the designated payment provider.
9. Customer content and confidentiality
Customer retains ownership of content and materials it provides, subject to any rights granted to us solely to perform the agreed services. Customer grants us a limited, non-exclusive right to host, copy, transmit, modify, and process those materials only as reasonably necessary to provide, secure, support, and back up the contracted service. We will use reasonable care with confidential information and will not knowingly disclose it except to personnel and service providers who need it to perform the service, with Customer authorization, or as permitted or required by law or contract.
Customer must not upload information it is not authorized to share. Customer is responsible for any legally required privacy notices, consent, and permissions for end users of its website, application, or database. If the parties require a data processing addendum, confidentiality agreement, or specific security commitments, those must be agreed in writing.
10. Intellectual property and project deliverables
Each party retains its pre-existing intellectual property. Ownership and licensing of custom code, designs, content, documentation, and other deliverables are governed by the applicable proposal or statement of work. Unless a written agreement says otherwise, third-party and open-source components remain subject to their own licenses. Customer must not remove or misuse third-party notices or license terms.
11. Third-party providers
Services may depend on hosting companies, registrars, software vendors, payment processors, cloud platforms, or other third parties. Their services may be subject to separate terms and outages or changes outside our reasonable control. We will make reasonable efforts to help with issues within the scope of the purchased service, but we cannot guarantee third-party availability or performance.
12. Disclaimers and limitation of liability
Except for commitments expressly stated in a signed agreement and to the maximum extent permitted by law, services are provided without a guarantee that they will be uninterrupted, error-free, immune from attacks, or suitable for every intended purpose. Customer remains responsible for business decisions, legal compliance, published content, and maintaining appropriate independent backups unless those responsibilities are expressly included in a written agreement.
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, goodwill, or data, arising from the services. To the maximum extent permitted by law, each party’s aggregate liability arising from a service will not exceed the fees paid or payable for that specific service during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law and do not exclude liabilities that cannot legally be limited, including any non-waivable statutory rights. A signed agreement may set different limits.
13. Indemnification
To the extent permitted by law, Customer is responsible for claims arising from Customer’s unlawful content, misuse of services, infringement of third-party rights, or violation of these Terms, except to the extent caused by our own breach, negligence, or misconduct. Any broader indemnity should be expressly agreed in a written contract and reviewed for enforceability.
14. Changes to services or Terms
We may update these Terms as services and legal requirements change. Material changes will be posted with an updated date and, where appropriate, communicated to affected customers. Changes to pricing, plan limits, or essential commitments for an existing paid term will be handled under the applicable agreement and law.
15. Governing law and disputes
Applicable law and dispute procedures may depend on the customer, service, and governing contract. A written service agreement should identify the governing law, venue, and dispute-resolution process after legal review. Nothing in these Terms waives rights that cannot lawfully be waived.
16. Contact and abuse reporting
For support, security concerns, or reports of suspected abuse, contact contactus@asharpsolutions.com. Please include the affected service or domain, a description of the issue, relevant timestamps, and a safe way to contact you. Do not email passwords, private keys, or unredacted sensitive records.
